Except as otherwise expressly agreed, OSC Vietnam in Hanoi and its clients (or "Client") and/or Agent (or "Agent") agree that the terms and conditions for the services rendered by OSC Vietnam in Hanoi to the Client, whether on an individual or a tour basis (or the "Services") shall be governed by the Terms and Conditions of booking set out below and that the said Terms and Conditions of booking shall form an entire part of the service contract, whether verbal or written, entered into between OSC Vietnam in Hanoi and the Client/Agent:

VALIDITY
All prices quoted to the Client/Agent are on a net basis and in United States Dollars and valid according to the date specified on the OSC Vietnam in Hanoi’s printed tariffs and/or quotation and/or invoice issued to the Client/Agent. OSC Vietnam in Hanoi warrants that the prices or rates quoted to the Client/Agent are correct at the time of issuance of the Client's/Agent's quotation and/or invoice but are subject to change in line with market, tax or currency fluctuation, with or without prior notice.

RESERVATION AND CONFIRMATION
Reservations are to be made to our office or to our appointed General Sales Agent. Upon confirmation of a reservation, a 20% (twenty per cent) deposit is requested, and the total package tour price for the Services should be paid at least 10 days (ten days) prior to client's arrival in Vietnam or starting date of the tour, or otherwise OSC Vietnam in Hanoi may at their sole discretion cancel the bookings without any refund of sums already paid to OSC Vietnam in Hanoi by the Client/Agent. OSC Vietnam in Hanoi also reserves the right to change any arrangement (including tours, programmes, prices and services) in the best interest of its Client/Agent, with or without prior notice.

PAYMENT
Except as otherwise agreed by OSC Vietnam in Hanoi, Client’s payment shall be executed by cash, credit card or travellers cheques. Except for cash payment, a service charge may apply. In cases where credit facilities have been agreed with the Client/Agent, payment shall be executed by swift or telegraphic transfer to the appropriate bank account of OSC Vietnam in Hanoi. Any bank charges levied by the sending bank relating to transfers to OSC Vietnam in Hanoi must be paid by the Client/Agent.

CANCELLATION
Save for the case where a Client/Agent loses its deposit as mentioned above, charges for cancellation of bookings are not levied by OSC Vietnam in Hanoi but if hotels, carriers and other contractors apply charges for cancellation, the Client/Agent shall be liable to pay those charges to OSC Vietnam in Hanoi or to the concerned parties directly as the case may be.

VOUCHERS
Vouchers for booking arrangements and a copy of the Client’s itinerary will be issued to the Client on arrival by an OSC Vietnam in Hanoi’s representative.

LIABILITY
OSC Vietnam in Hanoi shall always do its utmost to provide the Services to the best of its capacity and upon the satisfaction of the Client. It is the understanding of the Parties that OSC Vietnam in Hanoi acts as an intermediary between the Client/Agent and airlines, hotels, transport operators, local tourist offices and other contractors providing the Services to the Client. OSC Vietnam in Hanoi shall in no event be liable to the Client/Agent, by reason of breach of Services or unsatisfactory Services provided to the Client by third parties or by way of indemnity or in tort or otherwise, for any loss, injury, damage, delay, change in schedule or other adverse events which are beyond the control of OSC Vietnam in Hanoi and/or sustained by an act or default of any person or company providing the Services to the Client. The Client/Agent warrants that OSC Vietnam in Hanoi shall not be responsible and/or liable for additional expenses and/or damages incurred due to any delay, accidents, natural disaster, political action or unrest.

CLAIMS
All disputes, claims and litigation regarding the Services shall first be settled by way of negotiation and mutual understanding. In the event such negotiation and mutual understanding would fail, the disputes, claim or litigation shall be finally settled by arbitration of the Vietnam International Arbitration Centre (VIAC) at the Chamber of Commerce and Industry of the Socialist Republic of Vietnam. All claims must be submitted in writing within 30 days after the end of the Services.
